Terms of Service for ThemeShopy

1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the website located at https://www.themeshopy.com/ (the “Site”) and the digital themes, templates, tools, documentation, and related services offered by ThemeShopy (collectively, the “Services”).

By browsing the Site, purchasing or downloading our products, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not access or use the Site or Services.

These Terms form a legally binding agreement between you and ThemeShopy, operating from Nagpur, Maharashtra, India (“we”, “us”, “our”).

2. Eligibility

By using the Site and Services, you represent and warrant that:

  • You are at least 18 years old (or the age of majority in your jurisdiction);
  • You have the legal capacity to enter into these Terms; and
  • Your use of the Site and Services complies with all applicable laws and regulations in your country of residence.

3. Accounts and Access

3.1 Account creation

To purchase, download, or receive support for our products, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete information during registration;
  • Keep your account credentials secure and not share them with others;
  • Notify us immediately at support@themeshopy.com of any unauthorized use or security breach.

You are responsible for all activities that occur under your account.

3.2 Access rights

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to:

  • Access and use the Site for browsing, purchasing, and managing your orders;
  • Download and use the digital themes/templates you purchase in accordance with the applicable product license (see Section 5).

Access may be suspended or terminated for violations of these Terms, non-payment, security concerns, or other reasons permitted by law.

4. Products, Licenses, and Permitted Use

4.1 Nature of products

ThemeShopy sells digital products, primarily Shopify and WordPress themes and related templates (“Products”). Unless expressly stated otherwise, all Products are licensed, not sold, to you.

4.2 Standard license (single storefront)

Unless a different license is explicitly stated on the product page or in accompanying documentation, each theme/template purchase grants you:

  • A single-site license for use on one live storefront or website at a time;
  • The right to install, configure, and customize the theme for that site;
  • The right to use the theme on a development or staging environment solely for testing and customization related to that one live site.

You may not:

  • Resell, redistribute, sub-license, or otherwise make the theme available to third parties as a theme, template, or “white-label” product;
  • Use the theme as the basis for a new theme or template that you then sell, distribute, or offer as a service (including on marketplaces such as the Shopify Theme Store);
  • Share your download links, license keys, or access credentials with others;
  • Remove or alter any copyright notices, attribution, or license information embedded in the code, unless expressly permitted by the specific product license.

If you need to use the theme on multiple storefronts/websites, you must purchase additional licenses accordingly.

4.3 Prohibited uses

You agree not to:

  • Use the Site or Services to violate any applicable law, regulation, or third-party rights;
  • Engage in automated scraping, crawling, or data extraction from the Site without our prior written consent;
  • Upload or transmit malware, viruses, or any harmful code;
  • Attempt to gain unauthorized access to our systems, accounts, or data;
  • Use the Services to send spam, phishing messages, or unsolicited commercial communications;
  • Reverse engineer, decompile, or disassemble the Products, except as expressly permitted by applicable law.

4.4 Updates and support

We may provide updates, bug fixes, and new versions of our Products at our discretion. Updates are generally available to active license holders. Support is provided via support@themeshopy.com and/or our support portal during our published support hours. We do not guarantee that every request will be resolved to your satisfaction, but we will use commercially reasonable efforts to assist.

5. Intellectual Property

5.1 Ownership

All intellectual property rights in and to the Site, Products, documentation, branding, logos, designs, code, and related materials (“ThemeShopy Content”) are owned by ThemeShopy or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Nothing in these Terms transfers ownership of ThemeShopy Content to you. You acquire only the limited license rights expressly granted in these Terms.

5.2 Feedback

If you provide us with feedback, suggestions, feature requests, bug reports, or other comments about the Site or Products (“Feedback”), you grant us a worldwide, non-exclusive, perpetual, irrevocable, royalty-free license to use, reproduce, modify, adapt, publish, and otherwise exploit such Feedback for any purpose, including improving our Services.

6. Payments, Subscriptions, and Refunds

6.1 Fees and taxes

You agree to pay all applicable fees and taxes as displayed at checkout or otherwise communicated by us. Prices may change from time to time; changes will not affect orders already placed unless required by law.

6.2 Payment processing

Payments are processed through third-party payment processors (e.g., Stripe, PayPal). By making a purchase, you agree to the terms and policies of those processors as applicable. You must provide accurate and current payment information and promptly update it as needed.

6.3 Subscriptions (if applicable)

For any subscription-based Products or services:

  • Fees are billed in advance on the cycle you select (e.g., monthly or annually);
  • Subscriptions automatically renew unless canceled before the renewal date;
  • You may cancel your subscription at any time via your account settings or by contacting support@themeshopy.com; cancellation takes effect at the end of the current billing period;
  • Unless required by law or explicitly stated otherwise, we do not provide refunds for partial billing periods.

6.4 Refund policy (digital products)

Because our Products are digital and immediately downloadable, we generally do not offer refunds once a download link or license key has been delivered, except:

  • Where required by applicable law (e.g., certain consumer protection laws);
  • In cases of duplicate charges, billing errors, or failure to deliver the Product as described.

For such issues, contact help@themeshopy.com with your order details. Any refund, if granted, will be issued to the original payment method.

7. Third-Party Services and Links

The Site and Products may integrate with or link to third-party services and platforms (e.g., Shopify, WordPress.org, GitHub, payment processors, analytics and advertising providers). These third-party services are governed by their own terms and privacy policies.

We are not responsible for:

  • The availability, content, or practices of third-party services;
  • Any loss or damage arising from your use of third-party services.

Your use of such services is at your own risk.

8. User Content

If you submit any content to us (e.g., support tickets, forum posts, reviews, testimonials), you represent that you have the necessary rights to do so and that such content does not violate any law or third-party rights.

You grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and modify such content in connection with operating and promoting the Site and Services, subject to applicable privacy laws.

9. Disclaimers

The site, products, and services are provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or any warranties arising from course of dealing or usage of trade.

We do not warrant that:

  • The site, products, or services will be uninterrupted, error-free, or secure;
  • Defects will be corrected;
  • The site or the servers that make it available are free of viruses or other harmful components;
  • The results of using the site, products, or services will meet your requirements.

You are solely responsible for your use of the site, products, and services, and for your computer, internet, and data security.

10. Limitation of liability

themeshopy, its affiliates, and their respective directors, officers, employees, contractors, agents, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, revenue, data, business, or goodwill, arising out of or in connection with these terms or your use of or inability to use the site, products, or services, even if advised of the possibility of such damages.

Our total aggregate liability to you for all claims arising out of or related to these terms or your use of the site, products, or services shall not exceed the amount actually paid by you to themeshopy in the twelve (12) months preceding the event giving rise to the claim, or usd 100, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases, our liability shall be limited to the fullest extent permitted by law.

11. Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless ThemeShopy and its affiliates, and their respective directors, officers, employees, agents, and service providers, from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

  • Your breach of these Terms;
  • Your use of the Site, Products, or Services;
  • Your violation of any law or third-party rights.

12. Termination and Suspension

We may, at our sole discretion and without prior notice, suspend or terminate your access to the Site or Services, or cancel your account, if:

  • You breach these Terms;
  • We suspect fraud, abuse, or illegal activity;
  • We discontinue certain Products or Services; or
  • We are required to do so by law.

Upon termination:

  • Your right to use the Site and Services will immediately cease;
  • Paid license rights to previously purchased Products generally remain in effect for the sites on which they were already lawfully used, subject to the terms of the applicable license;
  • We may retain certain data as required by law or for legitimate business purposes (e.g., fraud prevention, dispute resolution).

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Any disputes arising out of or in connection with these Terms or your use of the Site, Products, or Services shall be subject to the exclusive jurisdiction of the courts located in Nagpur, Maharashtra, India, unless mandatory local law provides otherwise.

Where permitted, we may also seek injunctive or other equitable relief in any competent court to protect our intellectual property and other proprietary rights.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in our business, legal requirements, or the Services. The updated version will be posted on the Site with a new “Last updated” date.

We may, where appropriate and required by law, notify you of material changes via email or a notice on the Site. Your continued use of the Site or Services after such changes constitutes your acceptance of the updated Terms.

15. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms without your consent, including in connection with a merger, acquisition, sale of assets, or similar transaction.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent possible and the remaining provisions will remain in full force and effect.

17. Waiver

Our failure or delay in enforcing any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by us.

18. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms specifically referenced herein or on the Site, constitute the entire agreement between you and ThemeShopy regarding your use of the Site and Services and supersede all prior or contemporaneous agreements, understandings, and representations.
